Planning, Performance and Resources Committee (PPRC)
Specific Terms of Reference
Purpose
The Planning, Performance and Resources Committee (PPRC) is a standing committee of the Board. Its principal role is to advise the Board and to ensure that the Museum’s financial management and controls are exercised in accordance with Museum policy as established by the Board and in accordance with the codes and standards of practice prescribed by Welsh Government, Audit Wales and by professional bodies.

In conjunction with the Audit, Risk & Assurance Committee to review the preparation of the Annual Accounts and to ensure that they have been properly audited by the Museum’s external auditors in accordance with paragraph 23.3 of the Regulations
Responsibilities
- To approve the signing of the Annual Accounts on behalf of the Board under paragraphs 17.2 and 17.3 of the Regulations;
- Approve Annual Budgets.
- Agree the draft Operational Plans ahead of the Board’s consideration and approval.
- Monitor organisational performance in relation to the targets set in the Museum’s Operational Plans.
- To approve, monitor and / or review the Plans for and delivery performance of the following areas: Collections & Research, Public Programming, Corporate Resources (including Finance and Human Resources), ICT, Digital, Marketing and Communications; Estates, Volunteering, Capital Expenditure, Peoples Collection Wales.
- To recommend and advise upon the administration of the Museum’s Pension Scheme;
- To ensure the Museum’s statutory compliance with legislation including, but not limited to the Welsh Language Standards, the Wellbeing of Future Generations (Wales) Act 2015, the Environment (Wales) Act 2016, General Data Protection Regulations, the Equality Act 2010, Freedom of Information, and other relevant legislation.
- To monitor and review the Museum’s compliance with health and safety legislation and to agree the settlement of any third party claims;
- To oversee major project developments across the organisation.
- To review as requested by the Board any major policy areas;
- To review the minutes of the meetings of the Museum’s trading subsidiary board and to monitor progress against the targets set;
- To review the minutes of the meetings of the Development Board and to monitor progress;
- To consider the Museum’s risk register and ensure that appropriate arrangements are in place to appropriately manage risk within the organisation;
- To monitor the write off of losses and special payments;
- To report to the Board on the discharge of the above duties.
Meetings
The Committee will meet quarterly and arrange the meetings through the Corporate Governance Manager at dates appropriate for conducting quarterly planning, performance & resource reviews. Further meetings will be called if required.
Membership
The President, Vice-President and Treasurer, and all Trustees are to be members of the Planning, Performance & Resources Committee.
Other attendees are the Director General, The Chief Operating Officer, Director of Corporate Resources, The Director of Visitor Experience, The Director of Business Development, Director of Learning and Public Programmes, The Corporate Governance Manager.
